Sinloc S.p.A. and Sinloc Investimenti SGR Conclude Transaction Involving Contribution and Share Subscription to ITEF

Sinloc – Sistema Iniziative Locali S.p.A. and Sinloc Investimenti SGR finalized a transaction involving the contribution of equity interests in four companies operating in the infrastructure and energy sectors to the Infrastructure & Transition Energy Fund (ITEF), alongside the subscription of fund shares.

Bird & Bird acted as legal advisor to both the Fund and the contributor, Sinloc, with a team led by Finance & Financial Regulation partner Pierpaolo Mastromarini, supported by associate Vincenzo Giorgio, who acted as project manager.

The team handled the drafting and negotiation of the full set of documents required to complete the contribution and finalize the transaction, including the negotiation of documents relating to the Fund’s subrogation in the existing financial documentation with a leading debt fund operating in the energy transition sector and an Italian credit institution.

Bird & Bird also managed the due diligence process on the projects held by the SPVs, covering regulatory aspects through partner Simone Cadeddu, head of the Administrative Law department, counsel Jacopo Nardelli, and associate Camilla Triboldi, as well as contractual, financial, and project aspects with partner Pierpaolo Mastromarini and associate Gloria Bernardini.
