San Marco Group acquires historic decorative brand Oikos via court auction

San Marco Group, a prominent Venetian industrial player, has successfully finalised the acquisition of Oikos, a historic brand based in Romagna specialising in decorative finishes for the construction industry. The transaction was completed following a definitive award at an auction held at the Court of Forlì.

The transaction was completed following a definitive award at an auction held at the Court of Forlì.

Founded in 1984, Oikos is recognised for its innovation in transforming wall paint into a sophisticated design element, evolving decorative finishes from a niche artisanal craft into an organised industrial system. Under the new ownership, the company will maintain a dedicated commercial structure and continue its entirely Italian production at the Gatteo Mare facility. The site currently employs approximately 100 staff and serves more than 50 countries globally.

Through this strategic investment, San Marco Group reinforces its position within the premium and decorative segments both in Italy and internationally. The group already operates four Italian factories and has subsidiaries in the United States, Germany, and Norway, alongside production units in Bosnia and Herzegovina and Russia.

Gianni & Origoni (GOP) provided legal assistance to San Marco Group throughout the process. The multidisciplinary team was led by partner Luigi Maraghini Garrone with the support of Emma Pia Marti for M&A profiles. The firm's team also included partner Luca Jeantet and associate Federico Roberi for restructuring matters, partner Emanuele Panattoni and associate Alessia Zorattini for labour law, and partner Ilaria Laureti and associate Riccardo Bellini for corporate finance aspects.

Tax advisory services were provided by BTLaws, with a team comprising lawyer and tax advisor Fabio Gallio and tax advisor Letizia Schiavon. KPMG acted as the financial advisor for the transaction, with a team led by partner Federico Bonanni, senior manager Mirella Mori, and senior consultant Sara Zambolin.
