Plures, Estra, and Centria complete €186m gas network acquisition

The sale of gas distribution activities across eight ATEMs—Campobasso, Frosinone 2, Bari 2 Sud, Barletta–Andria–Trani, Pisa, Teramo, Massa Carrara, and Viterbo—to a temporary association of companies (ATI) formed by Plures, Estra, and Centria has been finalised. The transaction was executed in implementation of the provision by the Italian Competition Authority (AGCM) which authorised Italgas’s acquisition of 2i Rete Gas, completing the divestment procedure required by the Authority.
The operation involved the transfer of 190,000 active delivery points (PdR), networks, plants, relevant personnel, and net assets functional to the management of the service, previously transferred into three newly incorporated companies. The total consideration for the transaction amounted to €186 million, settled across three separate closings. The acquisition aligns with Plures’s broader growth strategy within the gas distribution sector.
BonelliErede assisted Plures with a multidisciplinary team led by of counsel Francesca Di Carpegna Brivio, a member of the infrastructure, energy, and ecological transition focus team and project manager for the transaction. The team included senior associate Federico Schingo, Jasmine Proietti, and Emanuele Nanna. Administrative law profiles, including due diligence on the acquired ATEMs, were managed by of counsel Alessandro Rosi and senior associate Andrea Gemmi. Partner Sara Lembo and associate Filippo Bisanti oversaw the antitrust aspects. The entire operation was coordinated by partner Catia Tomasetti, leader of the focus team.
