One Equity Partners acquires Bozzetto Group in mid-market private equity deal

Bozzetto Group has finalised an agreement for its sale to One Equity Partners (OEP), a leading international private equity firm specialising in the mid-market segment. The transaction was the result of a competitive bidding process aimed at identifying a strategic partner to support the group’s future growth.

Andersen Italia provided tax advisory services to Bozzetto Group throughout the sale process, specifically managing the preparation of the vendor tax due diligence (VTD) report. The mandate was led by partner Letizia Carrara and involved a comprehensive analysis of the domestic and cross-border fiscal profiles of the primary entities within the group’s corporate perimeter.

The operation required the coordination of a multidisciplinary team across several Andersen country practices, including Spain, Turkey, Indonesia, and Honduras, with central management based in Italy. This integrated approach ensured operational consistency and provided a strategic framework for managing the Q&A phase with potential bidders, contributing to the successful execution of the transaction.
