OM Group reacquires controlling stake in MeglioQuesto Human from MeglioQuesto S.p.A.

OM Group S.p.A., a leading company in the design, development, and management of sales networks, as well as in the implementation and oversight of commercial operations for financial institutions, has reacquired the controlling stake in MeglioQuesto Human S.r.l.

The transaction was completed within the context of the negotiated composition procedure of MeglioQuesto S.p.A., a company listed on the Euronext Growth Milan segment, and aims to relaunch MeglioQuesto Human S.r.l. through a change of control. The deal represents a strategic step towards stabilizing corporate relations within the Group and preserving the value of the remaining minority interest held by MeglioQuesto S.p.A.

The majority shareholder, OM Group S.p.A., was advised by BDO Law on all legal aspects of the transaction. The team was led by partner Giovanni Stefanin and included partners Andrea Angelillis and Giacomo Caudana (Manager), as well as Dr. Enrico Casamassima (Senior), who oversaw all corporate and contractual aspects of the transaction, including the negotiation of binding agreements. Procedural matters were handled by Federica Masciocchi (Senior Manager) and Alessandro Podda (Manager).

OM Group S.p.A. also received tax advice from TCFCT – Studio Associato, with a team comprising partners Filippo Tonolo and Giorgio Misuraca, and Mario Baldascino.

The minority shareholder, MeglioQuesto S.p.A., was assisted by TARGET on all legal aspects of the transaction, with a team composed of partners Matteo Bazzani and Chiara Mariani.
