Gradiente III Completes Acquisition of Outly Owner Veneziani & Co

The private equity fund Gradiente III, managed by Gradiente SGR S.p.A., has completed the acquisition of Veneziani & Co S.r.l., a company operating under the “Outly” brand in the retail trade of sunglasses and prescription eyewear.
Veneziani & Co S.r.l. operates in eight countries, with approximately 50 stores located in major outlet centers in Italy, Poland, France, Spain, Belgium, the Czech Republic, San Marino and the Netherlands. The Gradiente SGR S.p.A. team is composed of Pietro Busnardo, Fabrizio Domenico Grasso, Lorena Lorenzon, Marika Savegnano and Tommaso Bacco.
Gradiente SGR S.p.A. was assisted by Studio Legale SAT – Spinazzi Azzarita Troi Genito Scimemi, with a team composed of Alvise Spinazzi, Giovanni Candiotto, Alessia Masiero and Silvia Zampieri, for corporate law matters and for the contractual documentation related to the investment and the acquisition; by law and tax firm Russo De Rosa Associati, with a team composed of Leo De Rosa, Niccolò Cappellini, Martina Bambino and Irma Lucca, for tax matters and transaction structuring; by Orsingher Ortu Avvocati Associati, with a team composed of Manfredi Leanza, Riccardo Valgoi and Anna Fiameni, for matters relating to bank financing; and by Studio Legale Sanzo Vascello, with a team composed of Manuela Sanzo and Giuseppe Arpino, for employment law matters.
In addition, Gradiente SGR S.p.A. was assisted by PwC for financial due diligence, by Monitor Deloitte for business due diligence, and by ERM for ESG and EHS due diligence.
Studio Legale Giovannelli e Associati, with a team composed of Gianvittorio Giroletti Angeli, Paola Cairoli and Giorgia Anna Palmas, and Cerina Studio Legale, with a team composed of Paolo Cerina and Marco Loiacono, assisted the shareholders of Veneziani & Co S.r.l. on legal matters.
In addition, the shareholders of Veneziani & Co S.r.l. were assisted by LABS Corporate Finance as financial advisor.
The acquisition was financed by illimity Bank S.p.A., which was assisted by Orrick with a team composed of Marina Balzano, Elisa Zaccaria and Filippo Nola.
