The top management of Gavazzi Tessuti Tecnici S.p.A., a leading Italian operator in the industrial technical fabrics market, has successfully finalised a management buyout (MBO).

The top management of Gavazzi Tessuti Tecnici S.p.A., a leading Italian operator in the industrial technical fabrics market, has successfully finalised a management buyout (MBO). The transaction was executed through the vehicle G1881 SRL, allowing the managers to assume ownership control of the company. The Gavazzi/Torrani family will retain a minority stake in the business to ensure industrial continuity.

Founded in 1881 in Calolziocorte, Lecco, Gavazzi Tessuti Tecnici has evolved from a traditional silk ribbon weaver for high fashion into a highly specialised niche operator. The company is now an international leader in the production of fiberglass, polyester, aramid (Kevlar), and basalt fabrics. Its products serve diverse high-performance sectors, including construction, plastics, composite materials for the wind and nautical industries, and ballistic protection.

The operation was structured through acquisition financing provided by Cherry Bank. Pirola Pennuto Zei & Associati assisted the selling shareholders of Gavazzi Tessuti Tecnici on all legal and tax aspects of the deal. The legal team was led by partner Francesco Lamperti and senior associate Michela Santinelli, while the tax profiles were managed by partner Guido Guetta and associate partner Alessia Rado.

Pirola Corporate Finance served as the financial advisor to the shareholders for the commercial and sovereign negotiations. The advisory team was coordinated by founding partner Mario Morazzoni, with the involvement of director Stefano Righetti, associate director Andrea Zaffini, and analyst Marcello Crescione.
