Gamma Engines Strengthens Industrial & Marine Segment with Acquisition of Stellantis Business Unit

Gamma Engines S.r.l. has signed an agreement to acquire the VM Industrial & Marine business unit from Stellantis Europe S.p.A., a renowned leader in engine design and manufacturing, primarily for the industrial and marine sectors, including the Cento (Ferrara) plant. Andersen advised Gamma Engines on the transaction.

Gamma Engines S.r.l. has signed an agreement to acquire the VM Industrial & Marine business unit from Stellantis Europe S.p.A., a renowned leader in engine design and manufacturing, primarily for the industrial and marine sectors, including the Cento (Ferrara) plant.

The deal was executed by Gamma Engines, a company established by the shareholders of Marval, a Piedmont-based industrial group active in precision mechanics, with the aim of strengthening its strategic position through the integration of the VM Industrial & Marine branch.

Andersen advised Gamma Engines on the transaction. The team, led by Partner Alberto Trainotti with support from Mario Bono and Saverio Fabbiano, and involving Partner Marco Giubbilei of Giubbilei Pantaleo Porzio, handled the tax structuring of the transaction and the management of negotiation aspects with Stellantis Europe from a tax perspective.

Stellantis Europe and VM Motori were advised on legal and contractual matters by Elexi, with a team composed of Partners Pietro Colasanto and Cristina Martinetti, Senior Associate Paolo Ossola, and Junior Lawyer Martina Ivy Moretto.

For Gamma Engines, legal and contractual aspects of the transaction were handled by Pavesio e Associati with Negri-Clementi, with a team including Partners Gabriele Fagnano and Sarah Vercellone.
