Fincantieri acquires Next Geosolutions in underwater segment expansion plan

Fincantieri has reached an agreement for the acquisition of Next Geosolutions, a company listed on Euronext Growth Milan specialised in marine survey and geoscience services.

Fincantieri has reached an agreement for the acquisition of Next Geosolutions, a company listed on Euronext Growth Milan specialised in marine survey and geoscience services.

The transaction is part of the investment programme announced by the group to accelerate the development of its underwater segment, which also includes further acquisitions in the subsea communications and unmanned autonomous systems sectors. Through this transaction, Fincantieri strengthens its presence in high-technology offshore services and continues the integration of industrial, technological, and operational expertise within its subsea hub.

As part of the transaction, certain shareholders representing Next Geosolutions's top management are expected to sell shares up to a maximum of 30% of their holdings, retaining the remaining portion of their stake in Next Geosolutions's share capital.

Cappelli Riolo Calderaro Crisostomo Del Din & Partners (CRCCD) assisted Fincantieri on the legal aspects of the transaction, with a team led by senior partner Roberto Cappelli and composed of partners Guido Bartolomei and Guido Masini, counsel Giulia Martino, associate Alessandro Zeppieri, and junior associate Roberto Casale. Ahead of closing, the Antitrust and Golden Power aspects are being handled by partner Daniela Fioretti, counsel Sofia Arata, and associate Gregorio Torazzi.

Fincantieri's in-house legal team acted through Alessandra Battaglia, General Counsel, and Manlio Niccolai, Head of Strategic Legal Affairs.

Legance assisted the controlling shareholder Marnavi S.p.A. (Ievoli family), an international shipowning group founded in 1910 holding a 52.60% stake in the share capital and 63.01% of the voting rights of Next Geosolutions, as well as Dott. Attilio Ievoli and Dynamic Europe S.r.l. (a company controlled by the latter), on the legal aspects of the transaction, with a team coordinated by partners Federico Vezzani and Andrea Sacco Ginevri and composed of counsel Fabiana Giordano, managing associate Caterina De Stefano, and associates Nicolò Amato and Francesco Fasoli. The tax aspects of the transaction were handled by senior partner Andrea Silvestri, counsel Simone Schiavini, and senior associate Benedetta Antinucci.

Deloitte Legal assisted Next Geosolutions and the manager-shareholders, collectively holding approximately 15% of Next Geosolutions's share capital, on the legal aspects of the transaction, with a team coordinated by partner Gianfilippo Pezzulo and composed of senior manager Giulia Satalino and associate Raffaele Sepe for M&A and capital markets aspects, and partner Emilio Cucchiara and senior associate Marzia Del Vaglio for antitrust and golden power aspects.

d'Aniello & Associati, with partner Francesco A. d'Aniello and a team composed of Pasquale Ferrillo and Attilio Lucca, assisted Next Geosolutions and the manager-shareholders, collectively holding approximately 15% of Next Geosolutions's share capital, on the tax aspects of the transaction.
