ENAV acquires 85% stake in AIView Group in drone and AI services deal

ENAV S.p.A. has completed the acquisition of an 85% stake in AIView Group S.r.l., a high-technology company active in drone services and unmanned systems, with a strong focus on the use of artificial intelligence for the collection, analysis and valorisation of data.

BonelliErede assisted ENAV's in-house legal team with a multidisciplinary team led by partner Gianfranco Veneziano and managing associate Edoardo Fratini, supported by senior associate Elettra Gaspari and associates Luca Trabacca and Cesare Giovetti for corporate and M&A matters. Employment law aspects were handled by partner Vittorio Pomarici, assisted by Michele Fava. Golden power profiles were managed by of counsel Alessandro Rosi, supported by associates Andrea Gemmi and Cecilia Didonè. ENAV's in-house legal team was coordinated by Francesca Covone, General Counsel, and Eleonora Pecora, Head of Legal and Extraordinary Operations.

AIView Group was assisted by Prof. Carlo Nardello of Tanlo S.r.l. as industrial and strategic advisor, and by Solving for the legal aspects, with a team comprising lawyers Piergiorgio Sposato and Mario Costanzo, together with Luca Pietrantuono and the support of Flavia Furiassi. The Solving team assisted the shareholders of AIView Group throughout all phases of the transaction, covering in particular the preliminary reorganisation of shareholdings, including the management of the transfer of minority stakes, as well as the relationship with Malaysian company Aerodyne Group, which was preparatory to the completion of the disposal. Solving also handled the structuring of the transaction and the negotiation of the contractual documentation, including the shareholders' agreements, ensuring coordination among the various stakeholders involved in a complex and international context.
