Elmos Semiconductor Share Placement Raises EUR 327 Million

Two major shareholders of Elmos Semiconductor SE have successfully placed approximately 1.86 million shares in the company through an accelerated bookbuilding process aimed at institutional investors.

The transaction represents around 10.5% of Elmos Semiconductor’s current share capital.

The shares were placed at a price of EUR 176.00 per share, resulting in a total transaction volume of approximately EUR 327 million. The offering was conducted exclusively with institutional investors in transactions exempt from, or not subject to, the registration requirements of the U.S. Securities Act of 1933.

Joh. Berenberg, Gossler & Co. KG acted as Sole Global Coordinator and Sole Bookrunner for the transaction.

Legal advice to Berenberg on German corporate and capital markets law matters was provided by an international team from Hogan Lovells, led by partner Prof. Dr. Michael Schlitt and of counsel Dr. Susanne Ries, together with counsel Mark Devlin.
