BUN Burgers and Joe Bastianich establish joint venture for new QSR concept

BUN Burgers, a leading Italian brand in the smashed burger category and part of the Gioia Group owned by the Ferrieri family, has established a joint venture with Joe Bastianich. The partnership is dedicated to the development of JB Burger, a new hospitality concept within the Quick Service Restaurant (QSR) segment.

The partnership is dedicated to the development of JB Burger, a new hospitality concept within the Quick Service Restaurant (QSR) segment. The project aims to integrate the entrepreneurial vision of Joe Bastianich with the operational know-how and established business model of BUN Burgers.

The operation involved the negotiation of the corporate and commercial agreements, as well as the intellectual property frameworks governing the overall structure of the joint venture. This strategic alliance allows both parties to leverage their respective strengths to scale a new brand within the competitive fast-casual dining market in Italy.

Gianni & Origoni (GOP) provided legal assistance to BUN Burgers with a team led by partner Emanuele Grippo and included counsel Olympia Noemi Foà and associate Claudio Asciolla for all corporate and civil law profiles. Of counsel Raffello Stefano De Marco and associate Giorgia Segaliari managed the intellectual property aspects of the transaction.

Joe Bastianich was assisted by the legal professionals of Studio Turini, specifically by founder Laura Turini and counsel Ilaria Feriti for civil law and intellectual property profiles, alongside lawyer Laura Poggi. Advisory services regarding the tax profiles of the deal were provided by Studio Feole, with a team comprising Sandro Feole, Erica Nebbiolo, and Luca Ghirardo.
