Brazil’s Vinci Partners merges with Compass Group to create LatAm’s largest asset manager

Rio de Janeiro-based Vinci Partners Investments has announced a merger with US-based Compass Group to create a regional asset manager of more than $50 billion in assets under management.

The combined entity will manage assets in Chile, Brazil, Mexico, Colombia, Peru, Argentina, Uruguay and Miami. By virtue of the merger, Compass Group's shareholders will acquire 11,783,384 Class A shares of Vinci and Class C redeemable shares of Vinci for $31.3 million.

The merger will see Vinci Partners’ asset volume jump from around $14 billion to just over $50 billion, making it the largest independent Brazilian manager in the region in terms of alternative funds.


"The company is becoming a portal for alternative investment in Latin America," Alessandro Horta, Vinci's CEO, was quoted by local media as saying. Regional expansion was already a plan presented by the company to the market since its IPO on the NYSE.


Vinci Partners was advised in Chile by law firm Carey, whose advice involved the Chilean aspects of a transaction governed by the laws of New York, and the coordination and supervision of the work of Vinci's local counsel in other jurisdictions in Latin America.


Carey’s team was led by partner Salvador Valdés, with partner Manuel Alcalde and associates Daniela Pfeffer, Constanza Rivera, Angélica De La Carrera, Enzo Devoto, Javiera Álvarez, Nicolás Fosk, Catalina Walker and Borja Ochagavía.

Beccar Varela advised the firm in Argentina, with a team led by partners Ramón I. Moyano, Carolina Serra and Lucía Degano, and associate María Inés Cappelletti.


Law firm Creel advised in Mexico, with a team led by partners Jorge Montaño and Gerardo Zimbrón Santamaría, and associates Georgina Basualdo Nahle and Ana Montserrat Jolly Cazzaro.

Guyer & Regules advised Vinci in Uruguay, and whose team comprised partners Nicolás Piaggio and Marcos Payssé, with associates Diego Sasías Arroyo and Eugenia Pérez Ribas.


Simpson Thacher & Bartlett acted as US counsel to Vinci, with a team led by partner Todd Crider, with partner Grenfel Calheiros and counsels Luiz F. Noronha and Enrique Güijosa, and associates Susan Uquillas and Hernán Alal.


Skadden Arps Slate Meagher & Flom acted as counsel to Compass, with a team led by partner Paola Lozano, with counsel Manuel Vivanco and associate Emilia Arango, while Compass was also advised by Barros & Errázuriz with a team led by partners Cristián Barros and Tomás Kovacevic.
