Bestinver Infrastructure and Tages Capital increase stake in IPlanet S.p.A.

Bestinver and Tages Capital have increased their indirect stake in IPlanet S.p.A. by acquiring the shareholding held by Macquarie Capital in EV Asset Holdings, the holding company that indirectly owns 50% of IPlanet’s capital.

Bestinver, through a new investment vehicle alongside Bestinver Infrastructure Fund II, and Tages Capital, through the Tages Helios Net Zero fund, have increased their indirect stake in IPlanet S.p.A. (“IPlanet”) – a leading Italian operator established as a joint venture with Italiana Petroli for the development of electric vehicle charging infrastructure in Italy – by acquiring the shareholding held by Macquarie Capital in EV Asset Holdings (“EVAH”), the holding company that indirectly owns 50% of IPlanet’s capital.

Bestinver and Tages were already minority shareholders of EVAH, following their 2024 acquisition of a portion of the stake originally held by Macquarie Capital.

Following the completion of this transaction – which received antitrust clearance from the European Commission at the end of November – Bestinver now holds approximately two-thirds of EVAH’s capital, while Tages owns the remaining one-third.

Bestinver was advised by Herbert Smith Freehills Kramer with an international team composed of partners Guillermo Uriarte Senén, Francesca Morra and Lucia Garralda, and senior associate Giacomo Gavotti; antitrust matters were handled by partner Henar Gonzalez Durantez, senior associate Pilar Carrasco, and associate Gonzalo Sanz-Magallón.

Tages was advised by its Head of Legal Affairs, Marcello Ciampi, and by the international law firm Gianni & Origoni, with a team coordinated by partners Mauro Sambati and Raffaele Tronci and composed of counsel Aldo Turella, managing associate Alberto Punzi, and associate Giuseppe Nigro for corporate matters; antitrust matters were handled by of counsel Eva Cruellas Sada and senior associate Giacomo Dalla Valentina.

Macquarie Capital was advised by Chiomenti, with a team led by partners Mario Roli and Elena Busson, and composed of senior associates Matteo Garofalo and Giusi Nicolosi, and associates Edoardo Fornaro and Bianca Strazzabosco for corporate matters; antitrust matters were handled by senior associate Antonino Cutrupi.

The notarial aspects were handled by Caruso Andreatini Notai Associati, with a team composed of notary Claudio Caruso and lawyer Paolo Liberatore Cipriano.
