TRB Réfractaires Enters U.S. Market with Acquisition of Majority Stake in MT. Savage Specialty Refractories

The refractory division of the French family group CB – TRB Réfractaires – has acquired a majority stake, through its subsidiary TRB Company, INC., in MT. Savage Specialty Refractories Co., INC., a U.S.-based company specializing in refractory solutions for the steel, cement, and blast furnace industries.

The deal marks TRB Réfractaires’ entry into the U.S. market and supports its strategy of international expansion and diversification.

CastaldiPartners advised TRB Réfractaires on all legal aspects related to the drafting and negotiation of the contractual documentation for this cross-border transaction, in particular the framework agreement for the acquisition of shares in MT. SAVAGE SPECIALTY REFRACTORIES CO., INC. The team was led and coordinated by Gaspare Dori and included Dominique Colella, Steven Sprague, Anna Lisa Sepich, Irene Malusà, Margherita Luppi, and Quentin Boury.

In this context, CastaldiPartners worked in close collaboration with TRB Réfractaires’ internal teams, particularly the legal department, represented by Véronique Nectoux, as well as the financial and strategic team composed of Thibaut Poulain and Sylvain Rousseau.

U.S. legal matters were handled by the American law firm MQR & Associati, with Marco Rossi.

On the financial side, TRB Réfractaires was supported by Altios International, with Alexandre Kaplan, Camille Garbolino, Elias Remy, and Antoine Cabrolier.

The sellers were advised by the U.S. law firm Tucker Arensberg, particularly by Thomas Peterson, Steve Bovan, and Matthew Christoph.
