The merger is “a transformative milestone for the insurance industry in Ecuador,” according to Ecuadorian law firm Bustamante Fabara, which advised Seguros Equinoccial on the deal.
“Our counsel covered all critical stages of the transaction, from supporting the negotiation and structuring of the agreements to the successful completion of closing,” the firm said. “This included a thorough due diligence process to identify and mitigate regulatory, operational, and technical risks inherent to the insurance sector.”
Likewise, the Bustamante Fabara team led the comprehensive management of authorizations before regulatory bodies, with particular attention to the competition authority and the insurance regulator, ensuring full compliance and the viability of the transaction from its structuring through to its final approval.
With the completion of the regulatory process and corporate integration, Seguros Equinoccial consolidates its leadership in the national market through Equisuiza, strengthening its operational and competitive capacity in a sector that demands technical precision, financial soundness, and strict regulatory standards.
The Bustamante Fabara team was led by managing partner María Rosa Fabara Vera, together with partner Mariana Villagómez; directors Andrés Becdach, Daniel Castelo, and Margarita Ripalda; and senior associates Esteban Dávila, Adriana Lasso, and Camila Sánchez, along with other attorneys specializing in corporate, financial, and insurance law.
Their coordinated work ensured an agile, technically robust transaction fully aligned with applicable regulations.
This transaction reaffirms Bustamante Fabara’s position as a leading firm in mergers and acquisitions, financial regulation, and complex corporate processes in Ecuador.
