Protos S.p.A. acquires control of Inarcheck S.p.A.

Protos S.p.A., a portfolio company of the HIG Capital fund, has acquired control of Inarcheck S.p.A. Based in Milan, Inarcheck is a leading technical consultancy and project verification firm, specialising in inspection services with a particular focus on the infrastructure and real estate sectors. The company offers a wide range of services, including project audits, real estate due diligence, technical control of construction sites, and certification of professional skills, including real estate appraisers and BIM figures, as well as the supervision of public works and support for the Responsabile Unico di Progetto.
The operation represents a significant milestone in the external growth path of Protos, contributing to the group’s broader objective of strengthening its positioning within the Testing, Inspection and Certification (TIC) market.
The buyer was assisted by Pavia e Ansaldo for all corporate and M&A aspects, with a team coordinated by partner Alberto Bianco and comprising counsel Erica Lepore and associates Arianna Bellani and Elena Giliberti, as well as partner Francesco Vitella regarding labour law aspects. Spada Partners, on behalf of the buyer, managed the tax due diligence with a team including partner Guido Sazbon, supported by Francesco Podagrosi and Filippo Carniglia, and the financial due diligence, with a team led by partner Antonio Zecca and assisted by Alessia Molinengo.
The sellers, comprising Bper Banca, Unipol Finance, Cassa Geometri, Inarcassa, and Quine s.r.l., were assisted by MAZZARELLA Law Firm for all legal and corporate aspects. The team was coordinated by managing partner Giuseppe Mazzarella and included associates Libera Pagano, Rosa Verde, and Elisa Capoluongo.
