Normec, a Netherlands-based group specializing in testing, inspection, certification, and compliance services across the healthcare, food, sustainability, and safety sectors, has finalized the acquisition of ECM (Ente Certificazione Macchine). ECM is a prominent Italian entity that has operated for over 20 years in certification, testing, and conformity assessments.

The transaction represents a major strategic step for Normec, allowing the group to strengthen its healthcare and certification division while expanding its footprint in Southern Europe. By integrating ECM, which operates as a Notified Body (no. 1282) and an accredited testing laboratory, Normec consolidates its presence in highly regulated Italian markets, including medical devices, machinery, and electrical safety. The move also bolsters Normec’s international reach, particularly through ECM’s established management teams and partnerships in China.

Ughi e Nunziante assisted Normec throughout the process, overseeing contractual matters and legal due diligence with a team led by partner Antonello Lupo, supported by associates Alessandro Corbò and Giacomo Rossetti. Administrative law profiles were managed by associate Cristina Maria Celotto.

The sellers were advised by Simmons & Simmons, with a team coordinated by partner Marco Muratore and including managing associate Paolo Guarneri and associates Nicola Rabitti and Marco Businelli for corporate matters. Regulatory aspects were handled by partner Vincenzo Salvatore and supervising associate Giuseppe Ragucci. Corporate profiles related to Chinese law were managed by YaoWang with a team led by partner Frank Zhuang.

Additionally, the sellers were assisted by Russo De Rosa Associati for tax and valuation matters, as well as the preliminary corporate reorganization. This team was coordinated by partner Valerio Libani and included associate Luigi Cecere, Benedetta Pimponi, Caterina Giacalone, and Cristiana Gaudio.
