Morales & Besa Advises on Multi-Tech Company Deal

Morales & Besa has advised ACCEL-KKR, a leading American global technology-focused investment firm, on the acquisition of several companies related to technological products development destined to support the business of Isapres and health services providers, I-Med being the most relevant.


ACCEL-KKR acted through its local vehicle, AK Chile Holdings SpA. AK Chile acted as buyer on the M&A transaction and borrower in the financing of the acquisition. The $120m deal took place on December 31st.

 

Representation involved the negotiation of the main contracts and the completion of the due diligence process as well as negotiating a loan from Banco Santander Chile to part finances the purchase. In addition, the transaction involved the negotiation and amendments to contracts with entities no longer related persons of the Group companies once the sale went through, with the purpose of continuing to efficiently develop the business operation. The acquisition was financed by bank debt and sellers notes and represents the first direct investment by the ACCEL-KKR fund in Chile.

 

CMS Carey & Allende Chile, led by partners Ramón Valdivieso and Diego Rodríguez, acted as legal counsel to Sonda.
