Kuri Breña Advises on the Acquisition of 51.3% Stake in Docuformas

Kuri Breña Sánchez Ugarte y Aznar has advised Docuformas and one of its main shareholders, in the structuring and negotiation for the primary and secondary investments in said company. The $100m deal closed August 31st.


The transaction involved the acquisition of 32.07% by Alta Growth Capital and 19.24% by The Abraaj Group of Docuformas’ capital stock from Adam Peter Jan Wiaktor Rynkiewicz (AW), Aureos LatAm Fund I and Fiduciaria Colombiana de Comercio Exterior.


Alta Growth Capital acted through the investment trust agreement with Banco Actinver, Institución de Banca Múltiple and Grupo Financiero Actinver, while The Abraaj Group, acted through the irrevocable trust agreement with Deutsche Bank México and Institución de Banca Múltiple, división fiduciaria (CKD Abraaj).


The acquisition was subject to certain closing conditions including approval by the Mexican Federal Competition Commision.


The Kuri Breña team was made up of partner Jorge Alejandro Sobarzo Hadad and associates Silvia Ema Roldán Gregory, José Alejandro Casas Farías and María del Mar Castelán Cruz.
