DEUTZ secures acquisition financing for German defence vehicle manufacturer FFG takeover

DEUTZ has secured a new financing package to support its planned acquisition of German defence vehicle manufacturer FFG Flensburger Fahrzeugbau GmbH, in a transaction that marks a major step in the company's transformation into a broader provider of mobility, propulsion and energy systems.

The financing, arranged by an international banking consortium, will fund both the acquisition and the refinancing of DEUTZ's existing debt facilities. As part of the transaction, the sellers' families will receive newly issued DEUTZ shares, giving them a stake of up to 29.9% in the company's enlarged share capital. Closing is expected by the end of 2026 or in the first quarter of 2027, subject to customary conditions.

Listed on the Frankfurt Stock Exchange and a member of the MDAX since March 2026, DEUTZ generated approximately €2.1 billion in revenue in 2025 with a workforce of around 6,000 employees. The acquisition supports the company's long-term strategy of evolving from an engine manufacturer into a systems provider focused on sustainable civilian and military mobility, propulsion and energy solutions.

Headquartered in Flensburg, FFG employs approximately 1,100 people and reported revenue of around €760 million in 2025. The company is a leading OEM and systems integrator specialising in tracked and wheeled armoured vehicles for international customers, including NATO member states and Ukraine. It is also a certified partner for a significant share of the German Armed Forces' land systems.

An international banking consortium was advised on the financing by Gleiss Lutz, with the team jointly led by banking and finance partner Helge Kortz and counsel Katja Lehr. The mandate also included partners Kai Birke, Jochen Tyrolt and Ocka Stumm, alongside counsel Markus Martin and Dominik Monz.
