DENSO Corporation acquires Axia Vegetable Seeds Group as part of AgriTech expansion strategy

DENSO Corporation—a global leader in advanced automotive and agricultural technologies— has acquired Axia Vegetable Seeds Group, a Netherlands-based company specializing in the production of high-quality tomato seeds for global greenhouse cultivation.
The transaction marks a strategic step in DENSO’s portfolio diversification and its broader effort to strengthen its position in the AgriTech sector. DENSO and Axia will combine their respective technological and agronomic expertise to develop high-performance seeds tailored for automated agriculture and resilient to climate change. Leveraging DENSO’s image recognition and artificial intelligence technologies, the two companies aim to shorten development times for new high-value seed varieties and accelerate their market introduction.
Gianni & Origoni, in coordination with TMI Associates and Houthoff, assisted DENSO in the due diligence process relating to the Italian subsidiary of the Axia Group, in the negotiation of the transactional documents from an Italian law perspective, and in the preparation and filing of the Golden Power notification.
The GOP team was led by partners Luciano Bonito Oliva and Andrea Aiello, supported by counsel Carmen Adele Pisani and associates Vincenzo Gallè and Filippo Tirelli for the corporate M&A aspects. Partner Fabio Baglivo and associate Marta Bartoletti handled the administrative law matters and the Golden Power filing.
