DaVita acquires Chilean dialysis business of Fresenius Medical Care

DaVita, a US-based, listed company engaged in kidney dialysis services, has acquired the Chilean dialysis business of Fresenius Medical Care, a dual US/German listed company that provides renal diseases services.

Once the transaction is completed, DaVita will become Latin America’s largest provider of dialysis services.

The deal was valued at $63 million.

The transaction was carried out in the context of DaVita's expansion in Latin America and involved simultaneous transactions in Brazil, Ecuador and Colombia for a total amount of $300 million.

Chilean law firm Carey acted as counsel to DaVita and actively participated in a complex negotiation process and the documentation preparation which involved advisors from various jurisdictions.


The transaction was completed in record time in Chile, including an intense and coordinated work by different Carey teams, which carried out the due diligence, negotiation of documents and closing of the operation in less than three months. The advice included multiple interactions with DaVita's internal team, its US legal counsel, as well as the sellers' local legal counsel.


Carey’s team advising DaVita comprised partner Jaime Carey A. and associates Jaime Coutts, Nicolás Marín and Fernanda Gabor.

Sidley Austin acted as counsel to the buyer, with a team led by partner Aaron Rigby, counsel Jocelyne E. Kelly and associates Caitlan M. Rocha and Tong Tong.

Gomez Pinzón also acted as counsel to the buyer, with a team led by partners Mauricio Jaramillo Campuzano and Lina Uribe García.

Brazilian law firm Demarest Advogados also acted as counsel to the buyer, with a team led by partner Guilherme Vieira da Silva, while Robalino also acted as counsel to the buyer, with a team led by partners Martín Pallares Sevilla and Pedro Manuel Córdova Balda.

Philippi Prietocarrizosa Ferrero Du & Uría acted as counsel to the seller, with a team led by partner Alberto Pulido A., with associates Martín Cruzat and Simón Valenzuela.
