Banca Ifis sells ARECneprix to Prelios for €30 million

Banca Ifis has signed a binding agreement with Prelios for the sale of 100% of ARECneprix, an asset management company specialising in the management of non-performing loans, real estate assets and complex operations, wholly controlled by illimity Bank (part of Gruppo Banca Ifis).

The transaction consideration amounts to €30 million.

The transaction delivers a capital benefit to Banca Ifis of approximately 10 basis points of CET1. The closing is expected by the end of June 2026.

Alongside the agreement, ARECneprix and illimity Bank have signed a term sheet setting out the essential terms of a multi-year servicing agreement, ensuring continuity in the management of illimity Bank's portfolios after closing. Transitional post-closing service agreements have also been executed, which will become operative upon closing.

The transaction is part of Gruppo Banca Ifis's broader strategy of focusing on core activities, while securing a growth path for its non-core assets. For Prelios, the transaction strengthens its role as a leading operator in alternative asset management, leveraging complementary expertise and supporting the group's growth trajectory.

Banca Ifis was assisted by BonelliErede, with a multidisciplinary team led by partners Giuseppe Rumi, leader of the Banking Focus Team and founder of the banking and insurance regulation department, and Maria Cristina Storchi, supported by senior associate Michele Cisolla and associate Filippo Airoldi. Prelios was assisted by Chiomenti, with a team coordinated by Gregorio Consoli and comprising Italo De Santis, Chiara Delevati, Bianca Maria Ruffino and Vittoria Cerrai Ceroni for corporate matters; Irene Scalzo, Guido Pisaneschi and Olga Loragno for finance matters; and Giulio Napolitano, Luca Masotto and Matteo Farnese for golden power matters.
