Athena Holding acquires 70% stake in Tessilbiella in luxury textile sector club deal

Athena Holding, an investment company led by Alexander De Luca, has acquired, through a club deal, a 70% stake in Tessilbiella, a Biella-based company controlled by the Crosa family and specialising in the design and production of wool and noble fibre fabrics for the luxury sector, with a strong presence in womenswear. The Crosa family will retain a 30% stake in Tessilbiella and continue to lead the company operationally.

Alongside Athena Holding, several family offices and individual investors also participated in the club deal, including Olivier Knapp, Sergio Gonella and Marco Dotto. Intesa Sanpaolo provided financing at the level of the operating company.

Athena Holding was assisted by BonelliErede, with a multidisciplinary team led by partner Gianpaolo Ciervo and comprising, for corporate matters, senior associate Monica Arecco and associate Anita Vanucci. Financing matters were handled by partner Giovanni Battaglia. Labour matters were handled by partner Antonella Negri, senior associate Didier Montingelli and Aurora Pellegrini. Due diligence activities were carried out by beLab's Transaction Services team, led by managing director Michel Miccoli and supported by director Andrea Terrieri. Financial advisory services were provided by Mario Bottero, Antonio di Paoli and Emanuele Siliano of The CFI Group. Financial due diligence was handled by Spada Partners, with a team comprising partner Antonio Zecca, assisted by Andrea Moretta and Mara Lo Russo; tax due diligence was handled by partner Luca Zoani, supported by Massimo de Luca and Maria Vincenza Brancaccio.

The Crosa family was assisted on legal matters by Gianfranco Catella and on tax and financial matters by Filippo Rimini, as well as on due diligence activities by a team comprising Alessandro Baroni, Sabrina di Carluccio and Ottavio Conigliaro of Cross Border.

Intesa Sanpaolo was assisted by ADVANT Nctm, with a team led by partner Giuseppe Buono and comprising associates Andrea Bertoni, Roberta Ferrario and Mattia Redaelli.
