AnaCap Financial Partners, a leading pan-European private equity fund focused on services, software, and technology within the financial ecosystem, has completed the placement of a senior secured bond issued by its portfolio company Edge Group S.p.A., a prominent Italian insurance brokerage group. The bond was fully subscribed by Macquarie Principal Finance.

In January 2025, AnaCap expanded its portfolio through a majority investment in Edge Group, in partnership with founder and CEO Manfredo Sciarretta. The goal of the partnership is to accelerate both organic and inorganic growth by providing capital and supporting the management team with sector-specific and operational expertise.

The bond issuance represents a key milestone in Edge Group’s growth strategy. Structured as a senior secured bond, the financing aims to provide the group with the financial resources needed to support and accelerate its expansion path, with the goal of becoming the leading consolidation platform in the Italian insurance brokerage market. The proceeds of the bond will be used to support strategic acquisitions, targeted investments, and the overall development of the business.

The A&O Shearman team advised AnaCap. The team was led by partners Pietro Scarfone and Alessandra Pala, supported by associates Edoardo Brugnoli, Alessia Cellucci, and Marco Mazzurco, along with legal intern Benedetta Girotti. The firm’s London office was also involved, with partner Nick Hallam contributing to the transaction.
