Alto Partners acquires a majority stake in Fragesa

Alto Partners Sgr, through the fund Alto Capital V, has acquired a majority stake in the share capital of Fragesa, a company in the food retail sector that manages the chain of pizzerias branded "Fradiavolo". The company boasts a solid reputation and a prominent position in "full service" catering with a focus on pizza and currently manages numerous direct and franchised outlets in the main Italian provinces to which an opening in Miami will be added in the coming weeks.

Alto Capital V took over the shares held by Gioia Spa (a food retail basket company whose brands include Cioccolatitaliani and Bun Burgers), Saint Food and part of the shares of Kappagroup (a holding company of Mauro D'Errico and Gianlucalberto Lotta) and provided the company with new finance to support the development plan.

Giovannelli e Associati assisted Alto Partners in all the legal aspects of the transaction with a team coordinated by partner Fabrizio Scaparro and composed of senior associate Laura Bernardi and associates Alessandra Gritti and Marika Gentile for the corporate aspects, and associate Santi Marco Calabrò for the labour law aspects.

Spada Partners assisted Alto Partners and, with a team led by partner Antonio Zecca and comprising Francesco De Buglio, Emanuele Arpano and Pierdamiano Abbenante, handled financial due diligence, while partner Luca Zoani, with a team comprising Matteo Danelli and Camilla Branchi, handled tax due diligence.

Kappagroup and founders Mauro D'Errico and Gianluca Lotta were assisted by Dentons law firm with a team led by partner Enrico Troianiello and comprising senior associate Giacomo Pino and trainee Bianca Balestri. Gioia Group and Saint Food were assisted by the international law firm Gianni & Origoni with a team led by partner Emanuele Grippo and comprising partner Gerardo Carbonelli, assisted by managing associate Olympia Foà and associate Claudio Asciolla. The law firm Morpurgo e Associati, with partner Claudio Morpurgo, counsel Stefano Cilio and senior associate Stefano Belloni assisted Alto Partners for the labour law aspects of the agreements with the managers.
