ABC Company acquires a stake in TWY

ABC Company S.p.A. has acquired a stake in Milan-based TWY S.r.l., a provider of advanced customer relationship solutions integrating technology, automation, AI, and omnichannel platforms. The acquisition was executed via a leveraged buyout through the special purpose vehicle BeTwy S.r.l., combining equity and financing from Crédit Agricole Italia.

ABC Company S.p.A. – a benefit company, consulting firm and permanent capital vehicle listed on the professional segment of Euronext Growth Milan (EGM) – has acquired a stake in TWY S.r.l., a Milan-based company specializing in advanced customer relationship solutions that integrate technology, automation, artificial intelligence, omnichannel capabilities, customer experience, and operational efficiency. TWY serves clients across the Finance, Insurance, Utilities, Retail, E-commerce & Retail sectors, offering integrated platforms that enhance technology, automation, employee experience, and sustainability.

The transaction was executed through BeTwy S.r.l., a special purpose vehicle incorporated for the acquisition of 100% of TWY’s share capital. BeTwy is 35% owned by ABC Digital S.r.l. (ABC Digital or the Club Deal), promoted and led by ABC Company, and 65% by Call2Net S.p.A.

The acquisition was structured as a leveraged buyout (LBO), combining equity and bank financing. The equity portion attributable to ABC Digital amounts to approximately €12 million (including the earn-out), of which around €5 million will ultimately be contributed by ABC Company, with the remainder provided by third-party investors.

The financing was provided exclusively by Crédit Agricole Italia S.p.A., which supported Be Twy in structuring and completing the transaction.
