Waico Group Acquires Logiudice Forni to Expand Artisanal Food Equipment Portfolio

Waico Group, an Italian industrial group controlled by Mindful Capital Partners, has successfully completed the acquisition of the entire share capital of Logiudice Forni from Tecno Pool S.p.A. The target company specializes in the production of premium equipment for the artisanal pastry, bakery, and pizza sectors.
The acquisition marks a further step in Waico Group’s growth strategy, aimed at strengthening its presence in major international markets and broadening its portfolio of high-quality solutions for food professionals. The deal builds upon a series of targeted strategic acquisitions previously completed by the group, including Vitella, Starmix, Effedue, and Italforni.
The transaction was financed by BPER Banca and Banca Sella, alongside Fustenberg Società di Gestione del Risparmio and Finint Investments SGR, which subscribed to a bond issued by Waico Holding S.p.A. Lincoln International acted as debt advisor for the operation, with a team led by Daniele Candiani and Davide Scroccaro.
Pavia e Ansaldo advised the buyer on all phases of the transaction. The multidisciplinary team was coordinated by partner Giuseppe Besozzi and included counsel Erica Lepore, associate Arianna Bellani, and trainee Elena Giliberti for corporate and contractual matters. Partner Francesco Vitella, alongside trainees Pieralberto Rosini and Giovanna Cardellini, handled labor law aspects. Partner Giuseppe Besozzi, senior associate Martina Bosi, and associate Arianna Bellani also assisted Waico on the financing profiles of the deal. Tax and corporate reorganization matters for the buyer were managed by Russo De Rosa Associati, with a team comprising Leo De Rosa, Federica Paiella, and Federico Allevi.
The seller, Tecno Pool S.p.A., was advised by ADVANT Nctm with a team composed of partner Pietro Zanoni, managing associate Natali Prodan Milic, and associate Emma Fradelloni. The financing syndicate was represented by Chiomenti, featuring a team that included partner Davide D’Affronto, Cettina Merlino, Alessandra Belmonte, and Matteo Venuta. The notarial aspects of the transaction were overseen by Giovannella Condò, co-founder of Milano Notai.
