Syscom-Prorep Expands in Italy with the Acquisition of GSR Technology Italia

The French group Syscom-Prorep has strengthened its European footprint with the acquisition of Milan-based GSR Technology Italia, a company specialized in display and embedded technology solutions.
Syscom-Prorep was founded and is led by Régis du Manoir and Hervé Dunand-Sauthier. The founding shareholders are supported by the private equity funds Siparex MidCap and Initiative & Finance. This second deal in Italy comes two years after the acquisition of La Technika Due, consolidating the group’s European presence and allowing it to broaden its range of products and services.
The target this time was GSR Technology Italia, a Milan-based company recognized for its expertise in display solutions, Human-Machine Interface (HMI) technologies, embedded systems, as well as innovative sensors and related technologies. Emanuele Galbiati, one of GSR’s two shareholders, remains fully involved in the project, taking over the leadership of Syscom-Prorep’s Italian teams.
CastaldiPartners assisted Syscom-Prorep on legal aspects with a cross-border team led and coordinated by Gaspare Dori, and composed of Riccardo Gotti Tedeschi, Irene Malusà, and Alessandra Esposito Franciosi for the structuring and execution of the transaction, while Sarah Barutti and Caterina Zerbi handled labor law matters and Vivian Grace Chammah oversaw intellectual property issues. Clas Foreign Desk managed the financial and tax due diligence with a team led by Giuseppe Cerati. Altios Corporate Finance (Alexandre Kaplan, Mirko Mottino) coordinated the audits and the entire acquisition process.
The two shareholders of GSR were assisted throughout all stages of the transaction — from structuring to execution — by Latham & Watkins and RPLT RP Legal & Tax, with a team composed of Claudio Elestici, Sabrina Straneo, and Riccardo Ruosi, who also handled the negotiation and drafting of Emanuele Galbiati’s collaboration agreements, in his capacity as head of Syscom-Prorep’s Italian teams.
Marsh handled the arrangement of a W&I insurance policy in favor of the buyer.
