One Equity Partners to acquire majority stake in Digital Value

One Equity Partners (“OEP”), a private equity firm specializing in the middle market, announced that it has signed an agreement with DV Holding S.p.A. (“DV Holding”) to acquire a majority stake in Digital Value S.p.A. (“Digital Value”), a company listed on Euronext Milan and one of the leading Italian players in the IT solutions and services sector.

Headquartered in Rome, Digital Value was established in 2018 through the merger of Italware and ITD Solutions. The company provides innovative solutions based on Big Data, Artificial Intelligence, and cloud computing, along with data management infrastructures and digital workplace services. It partners with leading technology providers to deliver these solutions. The company employs 680 people and has additional offices in Milan, Prato, and Florence.

Completion of the transaction is subject to certain conditions precedent, including customary regulatory approvals.

A&O Shearman and BonelliErede advised, respectively, the buyer, OEP, and the sellers, DV Holding, while Gatti Pavesi Bianchi Ludovici assisted Digital Value.

Studio Coppi, with partners Francesca Coppi and Benedetta Ambrosio, assisted DV Holding on compliance matters related to Legislative Decree 231.

DV Holding was also supported by Studio Fiori, with its founder Prof. Giovanni Fiori, and by D.G.P.A. & Co., which acted as exclusive financial advisor with a team led by partners Luciano Avanzini, Stefano Balbinot, and Maurizio Dallocchio.
