Midsea sold by Midolini Group to Equiter Infrastructure II, reinforcing strategic consolidation

Midolini Group — a historic Friulian company active in cargo loading and unloading services, warehousing, project cargo and general port services — has concluded the sale of the entire share capital of its subsidiary Midsea to the Equiter Infrastructure II fund.

Since 2022, Midolini Group has been indirectly held by Smart Capital, a permanent-capital industrial holding company specialized in Private Equity and Private Investments in Public Equity, and by VSL Club, the first Italian club deal with a focus on the shipping sector.

With the support of Smart Capital and VSL Club, the Midolini Group has undergone an effective reorganization in recent years and — through other satellite companies — also operates in the lifting, logistics and training sectors.

The sale of Midsea’s entire share capital is part of Midolini’s strategy to streamline its operations and continues the group’s consolidation path in a fast-growing market segment. Closing of the transaction, subject to obtaining the necessary approvals, is expected in the first half of 2026.

LMCR, with Elmar Zwick and Elisabetta Pero, advised the sellers — including the Midolini family and Giacomo Pittini, Smart Capital S.p.A. and VSL Club S.r.l. — on all corporate and contractual matters related to the transaction. The shareholders were also assisted by Francesco Arlati, general counsel of Smart Capital S.p.A.

Equiter SGR, a leading asset management company specialized in infrastructure investments in the mid-market segment, with a primary focus on the Italian market, was assisted by ADVANT Nctm with a team composed of equity partner Pietro Zanoni and senior associate Debora Amati.
