Kering has announced the signing of an agreement for the acquisition of Raselli Franco Group, a family-owned company renowned for its expertise and excellence in the production of high-end and fine jewellery for leading luxury brands.

Kering has announced the signing of an agreement for the acquisition of Raselli Franco Group, a family-owned company renowned for its expertise and excellence in the production of high-end and fine jewellery for leading luxury brands. The transaction forms part of Kering’s strategy to support the long-term growth of its Maisons and to strengthen control over its value chain. Founded in 1969, Raselli Franco Group is internationally recognised for its outstanding know-how and innovation capabilities in jewellery prototyping and manufacturing. The acquisition strengthens Kering’s production capabilities, further consolidates its excellence in craftsmanship and supports its strong ambitions in the jewellery segment.

The acquisition will be completed in several phases, starting with an initial 20% stake in the first quarter of 2026. The agreement provides for a path towards full ownership by 2032.

Gianni & Origoni assisted the purchaser Kering with a team comprising senior partner Francesco Gianni, partner Donato Romano, managing associate Alessandro Paccoi and associate Monica Boccuzzi. GOP also acted with a multidisciplinary team including partner Cristina Capitanio and managing associate Eleonora Rainaldi for employment law matters, partner Matteo Padellaro and associate Marco Marrano for antitrust matters, and partner Fabio Baglivo and associate Marta Bartoletti for FDI-related matters.

Foglia & Partners assisted Kering on all tax aspects of the transaction with a team led by senior partner Giuliano Foglia, together with Matteo Carfagnini, Francesco Capogrossi, Sergio Mango and Carolina Castelli.

Hogan Lovells assisted the seller with a team led by partner Luca Picone, and including counsel Martina Di Nicola, associate Gianluca Ceci and trainee Lorenzo Bertola.

District Advisory acted as financial advisor to the seller, with a team comprising partner Sara Ciavorella, managers Marco Ercolani and Silvio Raffo, associate Silvio Renda and analyst Giancarlo Conzo.
