FAR Networks acquires 55% stake in VideoGecom

FAR Networks S.r.l., a leading company in IT solutions and telecommunications, has signed binding agreements for the acquisition of a 55% stake in G.E. @ COM - GENERAL ENERGY @ COMMUNICATION S.r.l. (VideoGecom), an Italian system integrator specialising in Pro AV, Unified Communication & Collaboration, and professional video communication solutions. The transaction also includes an option agreement for the possible acquisition of the remaining 45% of the share capital.

The acquisition was financed by BCC Milano.

FAR Networks was advised on M&A aspects and legal and tax due diligence by LCA Studio Legale, with a team comprising Benedetto Lonato, Nicole Meyerhoff and Michele Torrazza for corporate and M&A matters, and Roberto Pellizzari, Thomas Yang, Raffaella Roccasalva and Annalisa Gobbo for tax due diligence activities. For the overall structuring of the transaction, financial and business due diligence, and financing structuring, FAR Networks was assisted by Monitor Consulting, with partners Massimo Mancini and Stefan Faè.

The selling shareholders of VideoGecom were advised on legal matters by M.B. Kemp LLP, with a team comprising Alessandro Patti and Pia De Negri, and by Ontier, with a team led by Simone Grassi, and on financial matters by Camillo Maurizio Di Paolo.
