Eurmoda acquires La Cerniera to strengthen its position in luxury leather accessories

Eurmoda, a group active in the field of metal accessories for high-end leather goods, has acquired the Florence-based group La Cerniera, one of the leading players in steel accessories for luxury leather goods.

LMCR assisted Eurmoda and handled the legal aspects of the transaction for the purchaser with a team led by Massimo La Torre and composed of Elisabetta Pero, Marta Chiaffoni, Alberto Colucci, Valerio Zanardo and Sharon Pedroni. Eurmoda was also assisted by Spada Partners which, with a team led by Guido Sazbon and composed of Francesco Podagrosi and Francesco Galafassi, carried out the tax due diligence.

Deloitte Legal acted as legal advisor to the shareholders of La Cerniera for the contractual aspects of the transaction and other corporate and M&A matters, with a team led by Andrea Martellacci and Sergey Orlov, and composed of Antonio Bramanti and Jelena Segovic.

La Cerniera was also assisted by Deloitte Advisory as financial advisor to the transaction.

The transaction aims to create a leading group in the sector. It was made possible thanks to the resources made available to Eurmoda by Aurora Growth Capital, just a few months after Aurora’s entry into Eurmoda’s share capital as a reference shareholder alongside Mindful Capital Partners and founder and CEO Marco Vecellio. The current shareholders of La Cerniera will reinvest significantly in the new group and will actively contribute to the new growth phase, ensuring managerial continuity.
