EF Group completes the double acquisition of Form Group and A&M

Eurofiere S.p.A. (EF Group), a leading Italian group in the trade fair and exhibition fittings sector and a portfolio company of the fund Alto Capital V managed by Alto Partners SGR S.p.A., has completed the double acquisition of 100% of the share capital of Form Group S.r.l. and A&M S.r.l.

This double transaction marks a strategic step in the Group’s growth and consolidation path. With the addition of Form Group S.r.l. and A&M S.r.l., EF Group expands its international reach, strengthens production capacity, and diversifies its offering by integrating new expertise in the office, retail, museum, and digital segments—enhancing its ability to operate on a global scale.

Both transactions include a significant reinvestment by the selling shareholders in the share capital of EF Group.

EF Group and its controlling shareholder Alto Partners SGR S.p.A. were assisted on all legal aspects by Giovannelli e Associati, with a team led by partner Fabrizio Scaparro and including counsel Laura Bernardi and associates Alessandra Gritti and Eugenia Arrigoni.

For tax aspects, EF Group was advised by Studio Spiniello, with partner Stefano Spiniello and associates Andrea Serra and Sara Donatella. EF Group and Alto Partners were also advised by BDO (financial matters), ERM (ESG matters), and Tarter Krinsky and Funaro & Co for U.S. legal and tax matters.

International law firm Gianni & Origoni advised Form Group S.r.l. and its shareholder, with a team composed of Luca Giannini, Niccolò Lavorano, Flavia Alinei, and Paolo Anibaldi. Real estate aspects were handled by Andrea Baglioni.

In the context of the transaction, Form Group S.r.l. was also assisted by lawyer Paolo Bregalanti from Studio Legale Bregalanti and, for tax matters, by chartered accountant Giuseppe Morello from Studio Morello. Form Group was also supported by NIMA Advisory as M&A advisor.
