Cogesi S.c.r.l. and consortium members acquire integrated water service business unit from Egea Acque S.p.A.

The signing of the preliminary purchase agreement by Cogesi S.c.r.l. and its consortium members ALAC S.p.A., SISI S.p.A., and Alpi Acque S.p.A. has been finalised for the business unit related to the management of the integrated water service (SII) in the Optimal Territorial Area n. 4 Cuneese, currently held by Egea Acque S.p.A. Simultaneously with the signing, Cogesi and its consortium members paid the consideration for the takeover to Egea Acque S.p.A.

The formal succession of Cogesi in the SII will take place in the coming months, following the execution of the definitive business unit purchase deed. The payment of the takeover value was partially funded through a facility granted to Cogesi by a pool of banks comprising BCC Banca Iccrea, acting also as agent bank, Banca Alpi Marittime, Banca d'Alba, Banca Cambiano 1884 S.p.A., UniCredit, and ViViBanca S.p.A.

Studio Legale Siena, represented by Fabio Siena, and FIVERS Studio Legale e Tributario assisted Cogesi S.c.r.l. and its consortium members in the negotiation of all agreements related to the operation, managing the civil, corporate, banking, and regulatory law profiles. FIVERS acted with a multidisciplinary team led by managing partner Alfredo Craca, and composed of partner Antonio Papi Rossi, counsel Nicola Ferrante, senior associate Gioia Stendardo, and trainee Leonardo Marangon.

Osborne Clarke assisted Egea Acque S.p.A. with a team led by partner Giovanni Penzo, supported by associate Matteo Tracanella, for all contractual aspects related to the sale, and a team led by partner Giorgio Lezzi, supported by senior associate Federica Fischetti, for all administrative law aspects.
