Assist Digital acquires majority stake in Hyntelo S.r.l.

Assist Digital, a company specialized in customer experience, data, and digital transformation and controlled by the private equity fund Ardian, has acquired a majority stake in Hyntelo S.r.l., a technology firm leading in the use of data science and artificial intelligence solutions to improve decision-making processes.
This strategic operation will enable Hyntelo to accelerate its international growth, expand its offering in the pharma, life sciences, and financial services sectors, and further consolidate its position as a leader in innovation in advanced data analytics. Assist Digital will also strengthen its leadership in data science and artificial intelligence services.
Assist Digital was assisted on the legal side concerning the M&A aspects of the transaction by Giovannelli e Associati, with a team led by partner Alessandra Pieretti and including associate Fiammetta Valenti, and on labor law matters by associate Marco Santi Calabrò.
The selling shareholders of Hyntelo were advised on all legal aspects of the operation by Gianni & Origoni, with a team led by partner Ruggero Gambarota and comprising senior counsel Mariasole Conticelli, managing associate Vittoria Sciarroni, and associate Federico Montinaro. IP matters were handled by lawyer Federico Bellan of Akran, while BlueBull, with a team composed of Francesco Crovace and Luca Benvenuti, acted as financial advisor.
Regarding the legal matters connected to the financing of the transaction, Assist Digital was advised by PedersoliGattai, with a team led by partner Gian Luca Coggiola and associate Davide Stracquadanio.
Dentons assisted the super senior lender pool with a team led by partner Alessandro Fosco Fagotto, head of the Banking and Finance department in Italy and Europe, and managing counsel Tommaso Zanirato, supported by senior associate Gaia Grossi and trainee Giovanni Vianello.
White & Case advised the lenders Tikehau Investment Management SAS and Generali Asset Management S.p.A., Società di Gestione del Risparmio, with a team including partner Stefano Bellani and associates Nicola Tosin and Amedeo Bardelli (all from the Milan office).
The international law firm Ashurst advised Banca Finint in its roles as Paying Agent, Issuing Agent, and Security Agent in the transaction, with a team coordinated by partner Annalisa Santini and supported by associate Benedetta Francesca Monestier.
