Armònia SGR acquires majority stake in Prevenzione e Salute Holding

Armònia SGR S.p.A., a leading Italian private equity operator, has announced the acquisition of a majority stake in Prevenzione e Salute Holding S.r.l., an Italian group specialized in the management of polyclinics and medical centers operating across multiple regions in Italy. The acquisition will be completed with a minority reinvestment by CEO Giovanni Battista Pisani and the current shareholders of the group, who will join Armònia in the new growth path.
Gatti Pavesi Bianchi Ludovici advised Armònia with a multidisciplinary team led by equity partner Andrea Giardino and partner Livia Cocca, and composed, for corporate matters, of senior associates Roberto Gambino and Gianmarco Melillo, with associate Beatrice Pagliari. Junior partner Elisabetta Patelli and associate Sara Nisticò handled administrative law matters, including those related to the golden power pre-notification, while junior partner Nicolò Farina and associate Federica Neri handled labor law aspects connected to Dr. Pisani’s reinvestment and the new management relationship.
Greenberg Traurig handled the finance aspects of the transaction with a team led by partner Daniele Migliarucci, supported by senior associate Cristina Cupolo and Lucrezia Naronte.
The international law firm Ashurst, with a team led by partner Riccardo Rossi and supported by associate Giuseppe Murano and trainee Carlotta Di Cretico, assisted the financing banks – Banca Ifis, also acting as Agent Bank, BPER Banca – Corporate & Investment Banking, and UniCredit.
PSH and the reinvesting shareholders were advised by Chiomenti, with a team composed of Luigi Vaccaro, Alessandro Buscemi, Roberto Gava, and Andrea Masut for corporate matters; Massimo Antonini, Elisabetta Costanza Pavesi, and Filippo Giuseppe Rocchi for the structure and other tax matters; and Prof. Giulio Napolitano, Luca Masotto, and Chiara Grazzini for FDI matters. Alongside Chiomenti, the target group and reinvesting shareholders were also assisted by Studio ABI, with Silvano Brusadin and Andrea Azzano. Deloitte Legal advised PSH and CEO and reinvesting shareholder Dr. Giovanni Battista Pisani, with a team led by Daniele Soru, Gary Pietrantonio, and Eleonora Neri. The other CEO and selling shareholder, Dr. Carla Trevisan, was advised by Justlex, with Antonello Senes and Armando Nania. Banca Finint acted as financial advisor to PSH and the reinvesting shareholders. Studio Gnudi, with Romano Conti and Alessandro Salmi, assisted the target group on accounting matters.
