Accial Capital Management provides $20m financing to Minu

Accial Capital Management is an impact-focused, tech-enabled investor in small business and consumer loan portfolios in consumer markets.
The deal was particularly challenging given that it involved companies in a sophisticated sector from two separate jurisdictions (Mexico and New York), according to Mexican law firm Gonzalez Calvillo, which acted as counsel to Accial Capital Management.
“As such, the structure was negotiated at-length and required to conform different concepts from foreign law into a Mexican-law governed transaction,” the law firm said. “It was necessary to implement an intrinsic collateral package in the form of an administration and source of payment trust to which Minu’s receivables are contributed.”
Intricate contractual arrangements were also put in place between all parties to document their relationship.
As counsel to Accial Capital Management, Gonzalez Calvillo’s team was led by partner José Ignacio Rivero Andere, with associates Jacinto Avalos Capin and Luis Ernesto Brieño Jiménez, with law clerk Maite Robledo Saldívar.
Raúl Tornel Castillejos represented Minu as the company’s general counsel.
