Taiwan’s AUO Acquires Behr-Hella Thermocontrol

Behr-Hella is dedicated to climate control and thermal management for the automotive industry and has numerous subsidiaries, covering many jurisdictions, such as Germany, India, Bulgaria and Mexico. 

With respect to Behr-Hella's Mexican subsidiary, BHTC México S.A. de C.V. ("BHTC México"), Mexican law firm Gonzalez Calvillo provided AUO with legal advice, in which various areas of the firm participated.

“The operation was not only challenging due to its scope in multiple jurisdictions, but also due to the amount of the transaction, the number of areas involved, the time constraints in the delivery of the audit, and the regulatory complexity given the nature of the business jurisdiction,” Gonzalez Calvillo said.

Gonzalez Calvillo’s team was led by partner José Victor Torres, with associate Fernanda Koloffon and law clerk Sofía Ramírez. The negotiations involved the firm’s corporate, finance, environmental, compliance and regulatory, labor, foreign trade and real estate practices.

The seller was advised by Clifford Chance and Davis Polk Hong Kong acted as counsel to the buyer.
