Prevenzione e Salute Holding acquires Sky Dental Holding in healthcare sector expansion

Prevenzione e Salute Holding S.p.A. (PSH), an Italian group active in the management of outpatient clinics and medical centres, founded by Giovanni Battista Pisani and controlled by Armònia SGR, has acquired Sky Dental Holding, a network of excellence dental centres based in Rome. Sky Dental operates through a network of 14 dental centres across 6 Italian regions, with a consolidated presence in Lazio, distinguished by a model based on computer-guided implantology and a comprehensive range of dental services.

The transaction is part of PSH's growth strategy to consolidate its role as a multispecialist healthcare platform under the leadership of CEO Giovanni Battista Pisani. In the context of the transaction, sole director Francesco Lerario and certain operating shareholders will reinvest in the project, ensuring management continuity and supporting the future development of Sky Dental within the group.

PSH was assisted on legal and labour due diligence and acquisition documentation by Deloitte Legal, with a team led by Partner Daniele Soru and Senior Associate Eleonora Neri, and on financial and tax due diligence by KPMG, with Partner Andrea Longoni.

The shareholders of Sky Dental were assisted by Massimiliano Gobbi of Studio Legale Gobbi & Partners in Rome, by Francesco Distefano of Studio Distefano in San Pietro in Casale (Bologna), and by Studio Signoriello — Dottori Commercialisti & Avvocati.
