A big bang in the Italian banking market: Intesa Sanpaolo is planning a takeover of UBI Banca. The largest Italian commercial bank will pay €4.9 billion for UBI in the form of new shares. If the Italian banking supervisory authority, the central bank and the ECB give their approval, the acquisition of the Bergamo-based financial institution should be completed by the end of the year.

The legal advisors in the deal have a long-standing reputation for excellence. On the Intesa Sanpaolo side the team is headed by partner Carlo Pedersoli of leading boutique Pedersoli, while UBI Banca has entrusted corporate lawyers Sergio Erede, the founding partner of BonelliErede, and Roberto Casati of Linklaters, both of whom are acting as co-counsel.
