Honduras’ Grupo UNO acquires majority stake in Primax

Through this transaction, Grupo UNO assumes control of Primax's operations in Peru and Ecuador, as well as the acquisition of 100% of Primax's operations in Colombia.
Grupo UNO has business lines dedicated to mobility solutions, import of petroleum derivatives, their storage, transportation, distribution, and sale across Latin America.
Primax is a downstream platform, which distributes petroleum and gas products. The company was founded by Grupo Romero in 2005 and now has direct operations in Peru, Colombia, and Ecuador. Primax has more than 2,000 service stations and 200 convenience stores across the countries in which it operates.
This transaction represents an important milestone in the fuel distribution sector in the region, strengthening Grupo UNO's regional capacity and presence, and laying the foundation to accelerate the sustainable growth of its business.
Holland & Knight led the negotiation of the transaction, which was governed by New York law.
Law firm Rebaza, Alcázar & De Las Casas acted as UNO's lead legal counsel in Latin America, overseeing the negotiation and coordination of local law matters across the various jurisdictions involved in the transaction.

In Ecuador, law firm Pérez, Bustamante & Ponce advised Grupo UNO, with a team led by partner Juan Manuel Marchán and director David Carrera, while the company was advised in Uruguay by Guyer & Regules, with a team led by associates Emilia Cadenas, Natalia Tagliamonte and Tais Falcón.
Grupo Romero was advised by Skadden, Arps, Slate, Meagher & Flom and in Peru by law firm Garrigues, whose team was led by partner Sergio Amiel, with principal associate Alessandro Mussio and associate Stefano Valer.
