Genova Industrie Navali S.p.A. (GIN) has entered the share capital of Lagomarsino Anielli S.r.l. with a minority stake, as part of a broader corporate transaction that also includes the acquisition by Lagomarsino Anielli of Pitturazioni Navali Industriali S.r.l. (formerly Luigi Amico S.r.l.), a company belonging to the GIN group.
Lagomarsino Anielli, a historic Genoese company founded in 1946, has been active for over eighty years in sandblasting, painting, maintenance and naval repairs, operating approximately 10,000 square metres of covered and open areas in the port of Genoa. The company also has a dedicated division for thermal, acoustic and fire-resistant insulation and flooring, serving both new construction and maintenance projects.
GIN is a holding company founded in 2008 from the merger of shipyards T. Mariotti and San Giorgio del Porto, with significant assets in the ports of Genoa (approximately 90,000 square metres with 5 dry docks), Marseille (approximately 170,000 square metres with 3 dry docks) and Piombino (approximately 160,000 square metres dedicated to ship recycling and shipbuilding).
The transaction is part of an ongoing consolidation process in the Genoese naval repair sector and aims to develop significant synergies between the two groups, broadening the service offering and strengthening their presence in the Italian shipbuilding sector, with the objective of establishing a leading industrial hub at national and Mediterranean level.
The Pelizza family and Lagomarsino Anielli were assisted by BonelliErede, with a team led by partner Vittorio Lupoli, member of the Shipping, Transport & Logistics Focus Team, and comprising senior counsel Fabio Macrì and associate Filippo Airoldi.
GIN was assisted by Studio Legale CBB Cristoffanini Bravo Bottero, with partner Giovanni Cristoffanini and counsel Emanuele Magarelli.
