F.lli De Cecco agrees to acquire RossoGargano in strategic vertical integration move

F.lli De Cecco di Filippo Fara San Martino S.p.A. has announced a binding agreement for the acquisition of the entire share capital of RossoGargano S.C.A.p.A., an agricultural cooperative company based in Foggia active in the production and processing of tomato-based products and food and vegetable preserves.

The transaction will allow De Cecco to gain full control of RossoGargano's production supply chain in a strategically important sector, benefiting from significant structural and logistical quality underpinned by recently upgraded technologies.

De Cecco was assisted by Gatti Pavesi Bianchi Ludovici as legal advisor for all corporate and contractual matters, with a team led by Equity Partner Barbara Napolitano and comprising Associates Marco Calderone and Alessandro Carbone. Administrative and regulatory law matters were handled by Equity Partner Filippo Arena, supported by Associate Elena Mastrocinque. Due diligence activities were carried out by EY STP S.r.l., with a team coordinated by Lorenzo Turco under the direction of Partners Alessandro Pacieri, Dario Pozzi and Livia Saporito, and comprising Andrea Core, Luigi Gazzaneo and Andrea Venditti.

The shareholders of RossoGargano were assisted on financial and tax matters by Francesco Ciampo, and on legal matters by Xperta Partners Legal (XP Legal), a division of Xperta Partners, with partner Gianluca Bartolomei.
