Ecocopter sells subsidiaries in Chile and Ecuador to Brazil’s Helisul

Ecocopter, which specializes in helicopter passenger and freight transportation and which is active in several South American countries, has sold its businesses in Chile and Ecuador to Brazilian helicopter company Helisul Aviação.

The purchase hands the Brazilian company whole control of Inversiones Ecocopter Holdings, the holding company that owns Ecocopter and Ecocopter Ecuador.

The agreement will allow both companies to begin a path of growth and consolidation in the international market thanks to the experience and support of Helisul, a company with 52 years of experience and a fleet of 58 aircraft (airplanes and helicopters), a presence in eight major cities in Brazil, as well as a complete portfolio of specialized air services, base operations, maintenance, leasing, aeromedical transport and tourist flights.

In addition, through Ecocopter, Helisul Aviação will have access to the air services market in the southern cone of Latin America, which is currently in expansion, as well as the generation of synergies between the two organizations and the implementation of the best practices that both have. This will further consolidate the positions they occupy today with solid international recognition, excellence in operations, professional quality and high standards in air solutions.

Marcelo Rajchman, CEO of Ecocopter, stated that “both Helisul and Ecocopter have very similar work and service philosophies, have a common vision regarding their responsible growth in each market and, above all, see safety in their operations as a primary condition, facts that have allowed them to be internationally recognized”.

 

For his part, Humberto Biesuz, CEO of Helisul, said: “The acquisition of Ecocopter is part of the company's expansion plan, allowing for safe and rapid growth, which will lead to expansion throughout the Latin American continent, initiating a multinational operation model unique in the sector; we are a company that grows with safety and planning, but always seeking new paths, which point towards the future”.

Chilean law firm Carey acted as counsel to Inversiones Cifco.

“The transaction involved advising the client throughout the entire sale process, from the letter of intent, through buyer due diligence, coordination of the various jurisdictions involved, to the signing of the definitive transaction documents, the satisfaction of the conditions precedent and the closing of the transaction,” the law firm stated.

Carey’s team was led by managing partner Jaime Carey, with partner Cristián Figueroa and associates Nicolás Fosk and Borja Ochagavía.

Dentons Paz Horowitz acted as counsel to Ecocopter in Ecuador, with a team led by partner Juan Carlos Pérez, partner, with director Eduardo Esparza.
