COM.TEL Acquires NEC Italia and NEC Nederland from NEC Europe

COM.TEL, a company with 30 years of experience in digital transformation and technological evolution, primarily specializing in the supply and integration of ICT systems in Italy, has announced that it has signed a binding agreement with NEC Europe LTD, a multinational company in information technology, electronics, and electrical systems, for the purchase of the entire share capital of NEC Italia S.p.A. and NEC Nederland BV.

COM.TEL S.p.A. (“COM.TEL”), a company with 30 years of experience in digital transformation and technological evolution, primarily specializing in the supply and integration of ICT systems in Italy, has announced that it has signed a binding agreement with NEC Europe LTD, a multinational company in information technology, electronics, and electrical systems, for the purchase of the entire share capital of NEC Italia S.p.A. and NEC Nederland BV (which, in turn, fully owns NEC United Arab Emirates branch in Dubai).

The completion of the transaction is subject to the fulfillment of customary conditions, including obtaining regulatory approvals and complying with local consultation obligations with employee representatives in the relevant jurisdictions.

Chiomenti assisted COM.TEL with a team composed of Filippo Modulo, Maria Pia Palma, Federica Turetta, and Maria Giulia Casertano for corporate matters; Anna Gardini and Jacopo Baieri for intellectual property and information technology aspects; Giulia Berton and Ida Cannavale for labor law matters; Marco D’Ostuni and Elio Maciariello for antitrust aspects; and Giulio Napolitano and Tommaso Mazzetti di Pietralata for golden power issues. For Dutch law matters, COM.TEL was assisted by the firm Houthoff, which worked in coordination with Chiomenti, with a team consisting of Michiel Pannekoek, Sophie De Kock Van Leeuwen, and Aniek Van De Graaf.

Freshfields assisted NEC Europe Ltd with a cross-border, multidisciplinary team led by Gordon Palmquist (Tokyo office) and Luigi Verga (Milan office), including senior associate Veronica Ferro, senior associate Arnold Itagaki (Tokyo office), and associate Giorgia Bove, supported by Ludovico Bruno and Lorena Coviello for corporate/M&A matters; senior associate Umberto Santacroce and associate Giuseppe Brero for tax aspects; Luca Capone, senior associate Mara Ruberto, and associate Celeste Campisi for labor law matters; Ermelinda Spinelli, principal associate Filippo Alberti, and associate Mila Filomena Crispino for antitrust and golden power issues.
