Chapters Group, a German investment holding company, has acquired the Finfox Group, a Swiss-based digital wealth management software provider, from Ecofin Group. The transaction, completed on May 2, 2025, includes the transfer of Ecofin Software and Technology and Ecofin Research and Consulting, both operating under the Finfox brand.

Founded in Zurich in 1986 by finance professor Martin Janssen, Ecofin Group has been a prominent player in technology and investment consulting. The divested entities specialize in hybrid wealth advisory services through their digital platform, Finfox, serving clients such as Raiffeisen banks, cantonal banks, and private banks in Switzerland and abroad.

Finfox will continue to operate independently and retain its brand under the new ownership. "By joining Chapters Group, we become part of a successful software investment company with more than 45 portfolio firms. For Finfox, this also means a sustainable ownership structure that will continue the course we set over the past three years," said Andreas Borg, CEO of Finfox, in a statement to finews.com.

Chapters Group, listed on the Frankfurt Stock Exchange, invests in small and medium-sized enterprises with a digital mission. The acquisition of Finfox fits its strategy of strengthening its position in the wealth-tech sector. "With Finfox, we are adding a genuine digital champion in wealth-tech to our portfolio. Chapters intends to strengthen the product offering through further acquisitions and to deepen the relationships with Finfox’s clients," Marc Maurer, Managing Director of Chapters Software Switzerland, told finews.com.

Martin Janssen, founder and owner of Ecofin Group, added in the same report: "I'm pleased we have found in Chapters Group a new, long-term-oriented owner who supports Finfox’s strategic direction and intends to further expand both the company’s innovative strength and its customer relationships."

Lenz & Staehelin advised Prof. Dr. Martin Janssen on the legal aspects of the transaction. The team was led by Simone Ehrsam (M&A) and included Nicolas Lehmann and Andrin Scherrer (both M&A), and Lukas Staub (Transitional Services).

The legal advisor to Chapters Group was not disclosed.
