Atta Group acquires 100% of Baritools in precision tooling sector consolidation

Atta Group, backed by Armònia SGR on behalf of the Armònia Italy Fund II and led by CEO Federico Scalaberni, has signed binding agreements for the acquisition of 100% of Baritools, a company specialising in the design and production of high-technology mechanical tools and equipment.

The acquisition is part of the industrial consolidation project launched in 2025, aimed at creating a specialised platform in the high-precision tooling sector, which also includes Ceresoli Utensili, Dorigo Utensili, Tunit, Affilomeccanica, Utensiltecnica and Cruing Italy.

Atta Group was assisted on all legal aspects of the acquisition by Cappelli Riolo Calderaro Crisostomo Del Din & Partners (CRCCD), covering due diligence, negotiation of the sale and purchase agreements, seller reinvestment matters and the definition of new management agreements. The Corporate/M&A team was led by partner Alessandro Antoniozzi, supported by associates Raffaela Tortora and Alessandro Zeppieri. Real estate matters were handled by partner Alessandro Vespa and senior associate Isabella Fascì. IP/IT and Privacy matters were handled by partner Alessandra Feller, together with senior associate Ginevra Lombardi and associate Giulia Concato. Employment matters were handled by partner Silvia Tozzoli with junior associate Federico Li Pomi, while administrative law matters were handled by counsel Sofia Arata.

Atta Group was assisted on tax matters and tax due diligence by Pirola Pennuto Zei & Associati, with a team comprising partner Nathalie Brazzelli, associate partner Filippo Jurina and senior associate Annamaria Nespoli.
